On March 17, 2020, Richard R. Hough III, Chairman and Chief Executive Officer of Silvercrest Asset Management Group Inc. (the “Company”), adopted a stock trading plan (the “Plan”) in accordance with Rule 10b5-1 of the Securities and Exchange Act of 1934, as amended, and the Company’s policies regarding stock transactions. Under Rule 10b5-1, directors, officers and other insiders who are not in possession of material non-public information may adopt a plan or contract for pre-arranged sales of the Company’s securities under specified conditions at specified times.
Pursuant to the Plan, a brokerage firm may purchase the Company’s Class A common stock, par value $0.01 per share, on behalf of Mr. Hough on the open market at prevailing market prices. Transactions under the Plan will not commence before April 17, 2020.
Transactions under the Plan will be disclosed publicly through Form 4 filings with the Securities and Exchange Commission. The Company does not undertake to report Rule 10b5-1 plans that may be adopted by any officers or directors in the future, or to report any modifications or termination of any publicly announced trading plan, except to the extent required by law.
